Terms of Service

1. Acceptance of Terms

By accessing or using SubDrop.live ("SubDrop," "the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms apply to all users including brands, streamers, administrators, and API consumers.

2. Description of Service

SubDrop is a marketplace platform that connects brands with live streamers. Brands purchase gift subscription drops that are delivered during live streams with branded overlays. Streamers earn revenue from drops. Viewers receive free subscriptions.

SubDrop facilitates transactions between brands and streamers but is not a party to the underlying gift subscription relationship with the streaming platform (Kick, Twitch, etc.).

3. Accounts

  • You must provide accurate, current, and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to create an account.
  • One person or entity may not maintain multiple accounts without permission.
  • You are responsible for all activity under your account.

4. Brands

Campaigns and Payments

  • All campaign payments are processed through Stripe. SubDrop does not store credit card information.
  • Campaign funds are non-refundable once gift subs have been delivered.
  • Refunds for undelivered subs are processed within 5–10 business days.
  • SubDrop charges a platform fee of $1.00 per gift sub ($5.99 total per sub).

Brand Responsibilities

  • You must have the right to use any brand name, logo, or message in your campaigns.
  • Campaign content must not violate any law, regulation, or third-party rights.
  • You may not use SubDrop for spam, deceptive advertising, or misleading promotions.
  • SubDrop reserves the right to reject or remove campaigns that violate these terms.

5. Streamers

Eligibility

  • You must have an active account on a supported streaming platform (currently Kick).
  • Your channel must comply with the streaming platform's terms of service.
  • SubDrop may suspend streamer accounts that violate streaming platform rules.

Earnings and Payouts

  • Streamers earn $4.74 per gift sub dropped on their channel (95% of $4.99).
  • Earnings accumulate in your SubDrop dashboard and are paid out via Stripe Connect.
  • Minimum payout threshold and processing times depend on your Stripe Connect status.
  • SubDrop is not responsible for tax obligations on your earnings. You are responsible for reporting income.

6. API Access

  • API access is provided to brands with valid API keys.
  • API keys are rate-limited (default: 100 requests per minute).
  • You may not share, sell, or expose your API keys.
  • SubDrop may revoke API access for abuse, excessive usage, or violation of these terms.
  • API availability is not guaranteed — we may modify or deprecate endpoints with notice.

7. Intellectual Property

The SubDrop platform, including its name, logo, code, design, and documentation, is the property of SubDrop and is protected by intellectual property laws.

Brands retain ownership of their brand assets (names, logos, messages). By using SubDrop, you grant us a limited license to display your brand assets in the context of delivering gift sub drops and analytics reports.

8. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose
  • Interfere with or disrupt the Platform or its infrastructure
  • Attempt to gain unauthorized access to other accounts or systems
  • Use automated tools to scrape, crawl, or extract data without permission
  • Impersonate another person or entity
  • Transmit malware, viruses, or harmful code
  • Manipulate or artificially inflate analytics, impressions, or engagement metrics
  • Resell or redistribute SubDrop services without authorization

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

SubDrop does not guarantee any specific level of engagement, impressions, or return on investment for campaigns. Results depend on many factors including brand messaging, streamer audience, and timing.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBDROP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to SubDrop in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SubDrop, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

  • You may terminate your account at any time by contacting support.
  • We may suspend or terminate your account for violation of these Terms.
  • Upon termination, your right to use the Platform ceases immediately.
  • Outstanding earnings for streamers will be paid out within 30 days of termination.
  • Unused campaign balances for brands will be refunded within 10 business days.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits against SubDrop.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notice at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
